Agreement to Terms

By accessing and using CoreITsm, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("Customer" or "you") and CoreITsm ("CoreITsm", "we", "us", or "our"). If you do not agree to these terms, please do not use our platform. These terms govern your use of our enterprise IT service management platform and related services.

Acceptance of Terms

By accessing or using CoreITsm, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy and any applicable Service Level Agreement (SLA).

Services Description

CoreITsm is a comprehensive enterprise IT service management platform that includes:

Service Availability

Services are provided on a subscription basis and may be subject to usage limits, service levels, and other conditions as specified in your subscription agreement.

Account Registration and Security

Account Creation

To use CoreITsm, you must create an account with accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • Notifying us immediately of any unauthorized use of your account
  • Keeping your contact information up to date
  • Ensuring all users of your account comply with these terms
  • Providing accurate billing and payment information
  • Complying with all applicable laws and regulations

Security Requirements

You must implement and maintain appropriate security measures:

  • Use strong, unique passwords for your account
  • Enable multi-factor authentication where available
  • Log out of your account when finished using the platform
  • Not share your login credentials with others
  • Immediately notify us of any security breach or suspected breach
  • Implement appropriate access controls for your users
  • Regularly review and update user permissions

Account Responsibilities

You are solely responsible for:

  • All activities that occur under your account
  • Maintaining the security of your account credentials
  • Backing up your data stored on our platform
  • Ensuring compliance with these terms by your users
  • Paying all applicable fees and charges

Subscription and Billing

Subscription Plans

CoreITsm offers various subscription plans based on your organization's needs:

  • Enterprise: For large organizations with advanced needs and premium support
  • Custom: Tailored solutions for specific requirements and custom implementations

Payment Terms

Payment terms and conditions:

  • Monthly and annual billing options available
  • Payments are processed securely through authorized payment providers
  • All fees are non-refundable except as specified in our refund policy
  • Pricing is subject to change with 30 days written notice
  • Late payments may incur interest charges
  • Payment obligations are non-cancellable during subscription term

Taxes

All fees are exclusive of taxes:

  • You are responsible for all applicable taxes, levies, and duties
  • We will collect taxes where legally required
  • Tax exemption certificates must be provided in advance
  • International customers may be subject to local tax requirements

Refund Policy

We offer a 30-day money-back guarantee for new subscriptions:

  • Full refund within 30 days of initial subscription
  • No refunds after the initial 30-day period
  • Refunds do not apply to custom implementations or professional services
  • Refunds are processed within 5-7 business days
  • Refunds are issued to original payment method

Auto-Renewal

Subscriptions automatically renew:

  • Monthly plans renew monthly unless cancelled
  • Annual plans renew annually unless cancelled
  • Cancellation must occur before renewal date to avoid charges
  • We will send renewal reminders before automatic renewal

You may use CoreITsm for legitimate business purposes:

  • Tracking and resolving incidents and problems
  • Managing IT assets and configurations
  • Automating IT workflows and processes
  • Providing IT support to end users
  • Compliance with ITIL and other best practices
  • Internal business operations and workflows

Prohibited Uses

You may not:

  • Use the platform for illegal activities or purposes
  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Upload malicious or harmful content or code
  • Attempt to compromise platform security or integrity
  • Resell or redistribute the service without authorization
  • Use the platform for competitive intelligence gathering
  • Spam, harass, or abuse other users or our staff
  • Reverse engineer, decompile, or disassemble the platform
  • Exceed usage limits or quotas specified in your subscription
  • Use automated tools to access the platform excessively

Content Restrictions

You must not upload or store:

  • Illegal, harmful, or offensive content
  • Malicious software, viruses, or code
  • Content that violates third-party rights
  • Personal data without proper legal basis
  • Content that exceeds storage limits

Data and Intellectual Property

Your Data

You retain ownership of all data you input into CoreITsm:

  • Incident records and problem reports
  • Asset inventory and configuration data
  • Knowledge base articles and documentation
  • Service catalog items and request records
  • Custom workflows and automations
  • User data and contact information
  • Business process configurations

Data Rights: You retain all rights to your data and may export it at any time during your subscription.

Platform Content

CoreITsm and its content are protected by intellectual property laws:

  • Software code and platform architecture
  • Documentation and training materials
  • Brand assets and trademarks
  • Proprietary algorithms and methodologies
  • User interface designs and layouts
  • Service methodologies and processes

Usage Rights

You are granted a limited, non-exclusive, non-transferable license to use CoreITsm:

  • During the subscription term
  • For your organization's internal business purposes
  • In accordance with these terms
  • Subject to the applicable usage limits
  • For authorized users only

Feedback and Suggestions

Any feedback or suggestions you provide:

  • Become our property without obligation
  • May be used to improve our services
  • Do not create confidentiality obligations
  • May be incorporated into our platform

Service Availability and Performance

Service Level Agreement (SLA)

We strive to maintain high service availability:

  • Uptime: 99.9% monthly uptime target (excluding maintenance)
  • Response Time: Average support response under 4 hours
  • Resolution Time: Critical incidents resolved within SLA
  • Planned Maintenance: Advanced notice for scheduled downtime
  • Service Credits: Available for SLA breaches

SLA Details: Specific service levels and credit calculations are detailed in your subscription agreement.

Service Modifications

We reserve the right to:

  • Add, modify, or remove features and services
  • Update pricing and subscription plans
  • Make temporary or permanent service unavailable
  • Introduce usage limits or quotas
  • Change service functionality or interfaces

We will provide reasonable notice for material changes that affect your use of the service.

Service Suspension

We may suspend or terminate your account for:

  • Violation of these terms of service
  • Non-payment of subscription fees
  • Suspicious or unauthorized activity
  • Legal or regulatory requirements
  • Prolonged inactivity
  • Breach of security obligations

We will provide notice when possible, except in cases of immediate security concerns.

Maintenance and Updates

We regularly perform maintenance and updates:

  • Scheduled maintenance during low-usage periods
  • Emergency maintenance as needed
  • Security updates and patches
  • Feature updates and improvements

Confidentiality and Data Protection

You must maintain the confidentiality of:

  • Your account credentials and access details
  • Any proprietary or confidential information
  • Customer data stored in the platform
  • Business processes and workflows
  • Security vulnerabilities discovered in the platform
  • Trade secrets and business information

Data Protection

You must:

  • Comply with applicable data protection laws
  • Obtain appropriate consent before processing personal data
  • Implement appropriate security measures
  • Report data breaches promptly
  • Cooperate with data protection authorities
  • Maintain records of data processing activities

Security Cooperation

You agree to:

  • Cooperate with security investigations
  • Provide information for security audits
  • Implement security recommendations
  • Report security incidents promptly
  • Assist in breach response efforts

Third-Party Integrations

CoreITsm may integrate with third-party services:

Third-Party Terms

Your use of third-party integrations is subject to:

Integration Responsibility

We are not responsible for:

Warranties and Disclaimers

Service Warranty

We warrant that the service will perform substantially as described in the documentation and will be available according to the SLA.

Disclaimer of Warranties

Except as expressly stated in these terms, the service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

  • We do not warrant uninterrupted or error-free operation
  • We do not warrant the accuracy or reliability of third-party integrations
  • We do not warrant fitness for a particular purpose
  • We do not warrant non-infringement of third-party rights
  • We make no warranties regarding the security of data transmission

Limitation of Liability

Important Notice

The following limitations apply to the maximum extent permitted by law:

  • Indirect Damages: CoreITsm is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.
  • Business Interruption: We are not liable for lost profits, lost revenue, lost business opportunities, or business interruption.
  • Data Loss: We are not liable for data loss, corruption, or unauthorized access, except as caused by our gross negligence or willful misconduct.
  • Third-Party Services: We are not liable for issues caused by third-party services or integrations.
  • Maximum Liability: Our total liability is limited to the fees paid by you in the preceding 12 months.
  • Service Credits: Your exclusive remedy for service failures is service credits as specified in the SLA.

Exceptions to Limitation

These limitations do not apply to:

  • Breach of confidentiality obligations
  • Intellectual property infringement
  • Gross negligence or willful misconduct
  • Payment obligations
  • Indemnification obligations

Indemnification

You agree to indemnify and hold CoreITsm harmless from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your violation of these terms of service
  • Your violation of any applicable laws or regulations
  • Your infringement of third-party rights
  • Your use of the platform in a prohibited manner
  • Any claims brought by third parties related to your use
  • Your breach of security obligations
  • Your violation of data protection laws

We will provide you with reasonable notice of any such claim and cooperate in the defense, at your expense.

Termination

Termination by You

You may terminate your subscription:

  • By providing notice to our support team
  • Through your account settings
  • At the end of your current billing period
  • With 30 days written notice for annual subscriptions

Upon termination, you will lose access to the platform and all data stored therein unless you export it before termination.

Termination by CoreITsm

We may terminate your account:

  • For material breach of these terms
  • For non-payment of fees
  • For fraudulent or illegal activities
  • If required by law or regulation
  • At our discretion with 30 days notice
  • For prolonged inactivity (12+ months)

Effect of Termination

Upon termination:

  • Your access to the platform will be disabled
  • All fees become immediately due and payable
  • We may delete your data after a reasonable period
  • You remain obligated to pay all outstanding fees
  • These terms will survive termination
  • Your license to use the platform terminates

Survival Obligations

The following provisions survive termination:

  • Payment obligations
  • Confidentiality obligations
  • Limitation of liability
  • Indemnification obligations
  • Intellectual property rights
  • Dispute resolution provisions

Dispute Resolution

Informal Resolution

We encourage you to first contact our support team to resolve any issues informally within 30 days of the dispute arising.

Formal Dispute Resolution

If informal resolution is not possible:

  • Submit a formal written complaint to our support team
  • We will acknowledge receipt within 5 business days
  • We will investigate and respond within 30 days
  • We will propose a reasonable resolution

Binding Arbitration

For disputes that cannot be resolved informally:

  • Disputes will be resolved by binding arbitration under JAMS rules
  • Arbitration will be conducted by a neutral third-party arbitrator
  • The decision will be final and binding
  • Each party bears its own costs of arbitration
  • Arbitration will be conducted in English

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions, class arbitrations, or representative proceedings.

General Provisions

Governing Law

These terms are governed by the laws of Portugal, without regard to conflict of law principles. Any legal proceedings will be conducted in the courts of Lisbon, Portugal.

Entire Agreement

These terms, together with our Privacy Policy and any applicable Service Level Agreement, constitute the entire agreement between you and CoreITsm.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

No failure or delay by us to enforce any provision of these terms constitutes a waiver of such provision.

Notices

All notices must be in writing and sent to the addresses specified in the Contact Information section. Electronic notices are deemed received upon transmission.

Assignment

You may not assign these terms without our prior written consent. We may assign these terms to any affiliate or in connection with a merger, acquisition, or sale of assets.

Force Majeure

We are not liable for failures or delays due to circumstances beyond our reasonable control, including acts of nature, war, terrorism, or government actions.

Relationship

These terms do not create a partnership, joint venture, agency, or employment relationship between you and CoreITsm.
